The role:

The purpose of the role is to provide Seriti with managerial and legal support and strategic legal and commercial advice to ensure legal risks are identified, mitigated and managed in accordance with the strategy and commercial objectives of Seriti. To lead and manage the Company’s legal function by providing strategic legal advice, ensuring legal compliance, mitigating legal risk, and supporting commercial objectives. The incumbent is accountable for developing and implementing legal frameworks, governance standards, and legal strategies that protect the Company’s interests while enabling sustainable business growth.

 

Responsibilities will include but not limited to:

  • Develop and execute the Group Legal Strategy aligned to Seriti’s strategic objectives and business priorities
  • Act as the principal legal advisor to Executive Management on strategic, commercial, environmental, mining and regulatory matters
  • Establish, implement and maintain legal governance frameworks, policies, standards and procedures across the Group
  • Provide proactive legal guidance on emerging legislation, regulatory developments and industry trends
  • Lead and support strategic legal projects and initiatives across Seriti
  • Prepare and present legal reports to Executive and Governance structures as required
  • Identify, assess and manage legal risks affecting Seriti and provide strategic advice on appropriate mitigation measures
  • Develop and maintain legal risk management frameworks and controls
  • Monitor compliance with applicable legislation, regulations and governance requirements
  • Lead the drafting, review, negotiation and approval of complex commercial agreements and legal documentation
  • Provide legal support for mergers, acquisitions, divestments, joint ventures and strategic partnerships
  • Ensure appropriate contractual protections are incorporated into all material business agreements
  • Advise procurement, operations, projects and corporate functions on contractual and commercial matters
  • Provide oversight and management of litigation, arbitration, mediation and dispute resolution matters
  • Manage and direct external legal counsel and specialist legal advisors
  • Develop dispute resolution and litigation strategies that minimise legal, financial and reputational risk
  • Ensure compliance with all applicable legal, regulatory and statutory requirements
  • Interpret legislation and provide practical guidance to the business on implementation requirements
  • Support engagement with regulators, government authorities and industry bodies as required
  • Support and strengthen the implementation of corporate governance frameworks across Seriti
  • Lead and manage the Legal and Compliance Function to ensure effective delivery of legal services

 

Requirements:

  • BA / BCom (or similar undergraduate degree) LLB
  • Minimum 8 years’ experience post qualification as legal practitioner in a law firm or corporate legal department 
  • Commercial Law experience and dealing with large corporate entities and government departments
  • Knowledge of relevant South African Environmental Law and mining legislation
  • Knowledge of Corporate Governance Processes
  • Knowledge of the litigation/arbitration processes
  • Knowledge and understanding of Contract Law
  • A deep understanding of Mining Industry in South Africa
  • Maintenance of professional admissions
  • Computer literacy (MS Office Suite)
  • Valid driver’s license
  • In possession or able to obtain a valid Certificate of Fitness

 

Advantageous:

  • Post graduate Diploma / Degree
  • Admitted as an Attorney or Advocate
  • Experience within mining, energy, resources or heavy industry
